We design the holding structure and form or adapt the Turkish company that will hold the licence, sized to your project, tax position and financing plan.

Due diligence on licences, land and grid rights

Whether you are building new or acquiring, we diligence the licence status, site and land rights, grid connection capacity and any inherited penalties or disputes.

Licence application and EPDK filings

We prepare and lodge the pre-licence, licence or MAPEG applications, assemble the supporting documents and respond to regulator queries so filings are not returned incomplete.

Negotiating PPAs, EPC and project contracts

We draft and negotiate the power purchase, EPC, O&M, grid connection and supply agreements that carry the project's economics and allocate risk.

Securing permits and ongoing compliance

We coordinate ÇED, zoning and connection approvals and keep you compliant with EPDK reporting, tariff and licence-condition obligations once operating.

Representation in disputes and enforcement

If a penalty, revocation or contract dispute arises, we act before the administrative courts and the Danıştay, or in arbitration where the contract provides for it.

What to prepare before your first call

The scoping stage moves faster when the basics of the project are already on paper. Gather the following:

A short description of the project — technology, target capacity, location and current stage — since this is what determines which licences, approvals and regulators apply.
Clarity on whether you are building new or acquiring an existing licensed company, as the second route turns the matter into a corporate transaction with diligence on the licence itself.
Your intended holding structure and tax position, so the Turkish company that will hold the licence can be sized and formed correctly.
Whatever you have on the project site — ownership, lease, usufruct, or an allocation on treasury or forest land — plus any grid connection capacity already allocated.
Any environmental documentation already in hand: a ÇED decision, a project-description file, or a claimed exemption.
Draft or existing project contracts — PPA, EPC, O&M, grid connection and supply agreements — for review against the regulatory regime.
If you cannot travel, a notarised and apostilled power of attorney (or consular legalisation for non-member states) with a sworn Turkish translation.

Governs generation, transmission, distribution, supply and trading in the electricity market, together with the EPDK pre-licence and licence regime.

Governs upstream oil and gas — exploration and operation licences, the licence holder's rights and obligations, the state's share of production and transfers of rights — administered through MAPEG.

The framework statute for mining rights since 1985, under which exploration and operation licences are granted by mineral group and administered by MAPEG, with a state royalty and activity, reporting and environmental conditions attached.
